Terms of Service
Effective date: 1 June 2026
1. Acceptance of Terms
By accessing or using the Soundial platform (“Service”) operated by Soundial Inc. (“Soundial”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Soundial is a cloud-based payroll, statutory compliance, and time & attendance platform designed for businesses operating in Jamaica. The Service includes, but is not limited to:
- Automated payroll processing with PAYE, NIS, NHT, and Education Tax compliance
- Employee time and attendance management, including biometric and GPS clock-in/out
- AI-powered payroll analytics, anomaly detection, and workforce insights
- Employee Self-Service (ESS) portal
- TAJ statutory form generation (P4, P24, P45)
- Bank file exports for NCB, Scotiabank, JN/CIBC, and ACH networks
- Document management, onboarding, and recruitment tools
3. Eligibility and Accounts
You must be at least 18 years of age and a duly authorised representative of a registered business entity to create a company account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. Soundial reserves the right to suspend or terminate accounts that contain false, outdated, or misleading information.
4. Licence and Acceptable Use
Subject to these Terms and payment of applicable fees, Soundial grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations.
You agree not to:
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to process data on behalf of third parties without written authorisation from Soundial
- Attempt to gain unauthorised access to any system, network, or data
- Upload or transmit malicious code, viruses, or any harmful material
- Use the Service in violation of any applicable Jamaican law or regulation
- Sub-licence, resell, or make the Service available to any third party
5. Data and Privacy
Our collection and use of personal and payroll data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
You retain ownership of all data you upload to the Service (“Customer Data”). You grant Soundial a limited licence to process Customer Data solely to provide, operate, and improve the Service.
You are responsible for ensuring that you have obtained all necessary consents from your employees and other individuals whose personal data you submit to the Service.
6. Statutory Compliance
Soundial provides tools designed to assist with Jamaican statutory obligations. However, the Service does not constitute legal, tax, or accounting advice. You remain solely responsible for the accuracy of payroll submissions, statutory filings, and all remittances made to the Tax Administration Jamaica (TAJ), National Insurance Scheme (NIS), National Housing Trust (NHT), and Education Tax authorities.
Soundial updates statutory rates and thresholds as promptly as practicable following official government notices. We do not guarantee that updates will be available before any statutory deadline.
7. Fees and Payment
Access to the Service is subject to subscription fees as set out in your executed Order Form or licence agreement. All fees are quoted in United States Dollars (USD) unless otherwise stated and are exclusive of applicable taxes.
Soundial reserves the right to modify subscription fees upon thirty (30) days' written notice. Continued use of the Service following such notice constitutes acceptance of the revised fees. Fees paid are non-refundable except as expressly required by Jamaican law.
8. Intellectual Property
All intellectual property rights in the Service, including software, algorithms, AI models, user interfaces, and documentation, are owned by or licensed to Soundial. Nothing in these Terms grants you any ownership interest in the Service.
You grant Soundial a royalty-free, worldwide licence to use anonymised and aggregated data derived from your use of the Service for the purpose of improving platform performance, training AI models, and developing new features, provided such data cannot reasonably be used to identify any individual or your organisation.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party received in connection with these Terms and not to disclose it to any third party without prior written consent, except as required by law or as necessary to perform obligations under these Terms.
10. Warranties and Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOUNDIAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY JAMAICAN LAW, SOUNDIAL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SOUNDIAL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA.
12. Indemnification
You agree to indemnify, defend, and hold harmless Soundial and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, breach of these Terms, or violation of any applicable law.
13. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate the agreement on thirty (30) days' written notice. Soundial may suspend or terminate your access immediately upon breach of these Terms, non-payment of fees, or if continued access poses a security risk.
Upon termination, you may request an export of your Customer Data within fourteen (14) days. After that period, Soundial may delete your data in accordance with its data retention policy.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Jamaica. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Jamaica.
15. Changes to These Terms
Soundial may revise these Terms at any time. We will provide at least fourteen (14) days' notice of material changes via email or a prominent in-platform notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance.
